This document is a public offer by OOO "ФРОДДИ" to enter into an agreement for access to the Froddy service on the terms set out below (Article 437 of the Civil Code of the Russian Federation).

2. Subject Matter

2.1. The Provider grants the Customer access to the Froddy software service — a pre-payout control layer for automated financial operations. The Service analyses events against configurable rules and returns verdicts via API and account dashboard.

2.2. Access is provided as SaaS via web interface and API. No installation on Customer infrastructure is required.

2.3. The Customer receives a non-exclusive licence to use the Service within the functionality of the selected plan for the duration of the paid access period.

2.4. The Service is not a banking product, payment service, or financial operator and does not conduct financial transactions on behalf of the Customer.

2.5. The Service is provided as digital access. Physical delivery does not apply.

3. Acceptance

This Offer is accepted by the Customer upon: registering an account in the Froddy dashboard; or paying for any plan. Upon acceptance, a contractual relationship is established between the Provider and the Customer.

4. Payment

4.1. Payment is made in advance in Russian roubles for each access period, unless otherwise agreed for Enterprise.

4.2. Payment is processed via the Provider's authorised payment partners. Available methods (bank card, SBP, and others) are shown on the payment page.

4.3. Access is activated upon confirmed payment. The access period begins at payment confirmation and lasts 30 days unless otherwise stated in the interface.

4.4. Access is not renewed automatically. At the end of a paid period, the account reverts to the Free plan. To continue on a paid plan, the Customer initiates a new payment.

4.5. In case of a failed payment, the Customer is notified. Access to paid features may be restricted until successful payment is confirmed.

5. Cancellation and Termination

5.1. The Customer may stop using the Service at any time. Access remains active until the end of the paid period.

5.2. The Provider may restrict or terminate access in cases of breach of this Agreement, non-payment, actions threatening security, or a request from a competent authority.

6. Refunds

6.1. Payments for unused portions of a paid period are non-refundable, except as set out in clause 6.2.

6.2. A refund is issued in cases of: accidental duplicate charge; charge amount not matching the selected plan; failure to provide paid access due to the Provider's fault.

6.3. To request a refund: hello@froddy.io — include account email, payment ID, and reason. Review period: 10 business days. Refunds are returned to the original payment method.

7. Limitation of Liability

7.1. The Service provides analytical tools. The Provider does not guarantee prevention of fraud, financial loss, or other adverse events.

7.2. The Provider is not liable for decisions made by the Customer based on Service verdicts.

7.3. The Provider's aggregate liability is limited to amounts actually paid by the Customer in the 12 months preceding the claim.

7.4. The Provider is not liable for indirect damages or lost profits.

8. Personal Data

Personal data is processed in accordance with the Privacy Policy and Federal Law No. 152-FZ.

9. Amendments

Material changes affecting price or service scope are communicated by email at least 30 days in advance. Continued use of the Service constitutes acceptance of the updated Agreement. Current version: /legal/offer.

10. Governing Law and Disputes

This Agreement is governed by the laws of the Russian Federation. Disputes are resolved through negotiation; if unresolved, in the courts at the Provider's registered location.
